Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions.

The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

These Terms of Service (“Terms”) govern your use of services provided by WallStreet Nannies Agency, WSN, WallStreet Assistants, and WallStreet Group, LLC  (collectively, “WSN,” “we,” “our,” or “us”). AS Proprietor/ LLC 

By accessing our website or using our services, you agree to these Terms.

1. Agency Role & Service Scope

WallStreet Nannies operates as a childcare placement and referral agency.

We:

connect families with childcare professionals
provide screening, introductions, and placement support

We do not:

employ caregivers
control day-to-day work
act as the employer of record

Families hire caregivers directly and assume all employment responsibilities.

2. No Employment Relationship

WSN is not an employer, joint employer, or staffing employer.

All caregivers are independent candidates presented for consideration.

Families are solely responsible for:

wages and payroll taxes
employment agreements
schedules and supervision
compliance with federal, state, and local laws

3. Use of Website

By using this website, you agree:

you are at least 18 years old
all information submitted is accurate
you will not misuse or attempt to disrupt the platform

WSN reserves the right to deny access or services at its discretion.

4. Placement Process & No Guarantee

WSN provides introductions and placement support only.

We do not guarantee:

job placement
candidate selection
long-term employment outcomes

Final hiring decisions are made solely by the family.

5. Fees & Payments  Policy

 All placement fees:

are non-refundable unless otherwise stated in writing
are based on services rendered, not employment outcomes

Specific service terms, packages, and warranties are outlined separately.

 Refunds, Placement Guarantees & Financing Programs:

 

Registration Fees, Search Fees, Launch Fees, Consultation Fees, Recruitment Fees, and Candidate Sourcing Fees are non-refundable.

Placement guarantees, when offered, are governed exclusively by the Client's signed Placement Agreement and do not constitute refunds.

 Clients utilizing financing, installment payment plans, or pay-later services remain subject to WSN's Payment Authorization, Payment  Plan & Refund Policy Agreement.

If a refund is approved by WSN, any refund associated with a financed or pay-later transaction shall be processed according to the  policies and timelines of the applicable financing provider.

 Placement fees funded through a financing or pay-later provider are considered paid to WSN upon funding by the provider. 

 Registration, search, launch, consultation, and recruitment fees are non-refundable. Placement guarantees, when offered, are governed by your signed Placement Agreement and do not constitute refunds. Clients utilizing financing or pay-later services remain subject to WSN's Payment & Refund Policy.

6. Candidate Information Disclaimer

WSN conducts screening based on:

references
background checks (when applicable)
provided information

However:

WSN does not guarantee the accuracy, completeness, or reliability of any candidate information.

Families are responsible for conducting their own due diligence before hiring.

7. Limitation of Liability

To the fullest extent permitted by law, WSN is not liable for:

actions, conduct, or negligence of caregivers
employment disputes between families and caregivers
damages arising from placement decisions

Use of our services is at your own risk.

8. Indemnification

You agree to indemnify and hold harmless:

WallStreet Nannies Agency, WSN, WallStreet Assistants, and WallStreet Group, LLC

from any claims, damages, or legal actions arising from:

employment relationships
misuse of services
violation of these Terms
9. Privacy & Data Use

Your use of our services is also governed by our Privacy Policy.

We may collect and use information to:

respond to inquiries
manage placements
improve services

We do not sell personal data.

10. Modifications

WSN reserves the right to update these Terms at any time.

Continued use of our services constitutes acceptance of updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Maryland.

UNITED STATES LEGAL COMPLIANCE

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

SEVERABILITY AND WAIVER

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

TRANSLATION INTERPRETATION

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

CHANGES TO THESE TERMS AND CONDITIONS

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
